Terms of Service

1. Agreement to Terms

By accessing or using SubPrecision's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. These Terms constitute a legally binding agreement between you and SubPrecision.

2. Description of Services

SubPrecision provides business consulting and management services for subcontractors, including but not limited to:

• Business setup and compliance assistance
• Bid finding, preparation, and submission support
• Contract review and management
• Back office operations and administrative support
• Marketing and growth strategy
• Fleet management and optimization
• Inventory tracking and optimization

The specific services provided to you will be determined during your consultation and outlined in your service agreement.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Consultation and Service Activation

Our service process works as follows:

• Card on File: You provide payment information to secure your consultation spot. Your card is NOT charged at this time.
• Consultation: We conduct a consultation to assess your business needs and recommend appropriate services.
• Agreement: If you choose to proceed, we will confirm the scope of services and pricing before any charges are made.
• No Obligation: If you decide not to proceed after the consultation, no charges will be applied and your card information will be deleted.

5. Pricing and Payment

Service pricing is as follows (subject to change with notice):

• Starter Plan: Starting at $750 (one-time setup)
• Growth Plan: $750–$1,500/month
• Full Service Plan: $1,500+/month
• Fleet Management: $500+/month (rate determined after assessment)
• Inventory Optimization: $750+/month (rate determined after assessment)

Monthly services are billed on a recurring basis. You will be notified of any price changes at least 30 days in advance. All fees are non-refundable unless otherwise stated in your service agreement.

6. Cancellation and Termination

You may cancel your services at any time by providing written notice to SubPrecision. Upon cancellation:

• Monthly services will continue until the end of the current billing period
• No refunds will be issued for partial months
• Any outstanding balances must be paid in full
• We will provide you with any work product completed up to the cancellation date

SubPrecision reserves the right to terminate services if you breach these Terms, fail to make timely payments, or engage in conduct that is harmful to our business or other clients.

7. Client Responsibilities

To ensure effective service delivery, you agree to:

• Provide accurate and complete information about your business
• Respond to communications in a timely manner
• Provide access to necessary accounts, documents, and systems
• Review and approve work product within reasonable timeframes
• Maintain valid licenses and insurance as required by your trade
• Comply with all applicable laws and regulations

8. Intellectual Property

Upon full payment for services rendered:

• You retain ownership of all business documents, templates, and materials created specifically for your business
• SubPrecision retains ownership of proprietary systems, processes, and general templates used across multiple clients
• You may not resell, redistribute, or share SubPrecision's proprietary materials with third parties

9. Limitation of Liability

SubPrecision provides consulting and administrative support services. We do not guarantee specific business outcomes, including but not limited to:

• Winning specific bids or contracts
• Achieving specific revenue targets
• Passing compliance audits (though we will help you prepare)
• Specific marketing results or lead volumes

To the maximum extent permitted by law, SubPrecision's total liability for any claims arising from our services shall not exceed the total amount paid by you for services in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SubPrecision, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your breach of these Terms, or your violation of any applicable law.

11. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information shared during the course of the service relationship. This includes financial data, business strategies, client lists, and proprietary processes. This obligation survives termination of services.

12. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved as follows:

• Informal Resolution: We will first attempt to resolve any dispute through good-faith negotiation.
• Mediation: If informal resolution fails, disputes will be submitted to mediation in Hillsborough County, Florida.
• Governing Law: These Terms are governed by the laws of the State of Florida.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, pandemics, internet outages, or other force majeure events.

14. Modifications to Terms

SubPrecision reserves the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
